END USER LICENSE AGREEMENT
This End User License Agreement (the “Agreement”) is a legal agreement between you (the “User”) and Seed Media LLC (the “Licensor”) for the use of [Your App Name] (the “Software”).
By installing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.
- License Grant. Licensor grants User a non-exclusive, non-transferable license to use the Software for personal use only.
- Restrictions. User may not copy, modify, distribute, sell, or transfer the Software, or use the Software for any commercial purpose.
- Ownership. The Software is owned by Licensor and is protected by copyright laws and international treaty provisions. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights.
- Termination. This Agreement will terminate immediately upon any breach of its terms by User. Upon termination, User must immediately cease all use of the Software.
- Disclaimer of Warranty. The Software is provided “AS IS” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
- Limitation of Liability. Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Software.
- Governing Law. This Agreement will be governed by the laws of [Your Country or State] without regard to its conflicts of law provisions.
- Entire Agreement. This Agreement constitutes the entire agreement between User and Licensor with respect to the Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
- Amendments. Licensor may amend this Agreement at any time by posting the amended terms on its website. User’s continued use of the Software after such posting constitutes User’s acceptance of the amended terms.
- Assignment. User may not assign this Agreement without the prior written consent of Licensor.
- Waiver. The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of the provision or of the right to enforce it.
- Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By installing or using the Software, User agrees to be bound by the terms of this Agreement.
